NCLT approves amalgamation of ARCL, MCL and JRDL into JSW Steel Limited
The National Company Law Tribunal (NCLT) has issued a final merger order under the Companies Act, 2013 approving the amalgamation of Arcelor Mittal Construction Limited (ARCL), Monnet Cement Limited (MCL), and JSW Realty Development Limited (JRDL) into JSW Steel Limited. The scheme consolidates multiple group entities (spanning construction, cement and real estate) into the listed parent. As a composite scheme involving three separate merging entities, this required NCLT sanction under s.230 et seq. The final order was received on 3 July 2026, following shareholder and creditor approval processes.
Why it mattersA three-way composite scheme through NCLT represents complex group consolidation mechanics; practitioners should note the interplay of cross-sector entities (construction, cement, realty) merging into a listed steel company and the implications for stakeholder class meetings and dissenting shareholder remedies under s.230.
