HCLTech acquires the India Global Capability Centre of Guardian Life Insurance Company of America for $10.5 million, a 100% equity stake acquisition of Guardian India Operations Private Limited

M&A / JV 16 Jul 2026· $10.5 million (₹101 crore approx) · Completed· ✓ Verified

Nearly 2,000 highly skilled employees from Chennai and Gurugram centres will transition directly to HCLTech, forming a brand new dedicated business unit specifically focused on serving Guardian. The major acquisition extends an existing technology partnership into a long-term seven-year master services agreement centred on artificial intelligence-led modernisation. Guardian India Operations was incorporated on 5 March 2002 and operates in India as Guardian's global capability centre. It reported revenue of ₹578.8 crore in FY2026 (as per unaudited financials), compared with ₹483.2 crore in FY2025 and ₹493.5 crore in FY2024.

Why it mattersGCC captive-to-service-provider transition: the structuring precedent demonstrates how a large US multinational can divest its India technology center at modest valuation (₹101 cr for ₹578.8 cr FY26 revenue) by bundling it with a long-term strategic MSA-a model increasingly used by global enterprises to drive AI/digital transformation while offloading captive cost.
