Cyril Amarchand Mangaldas advises on Nxt-Infra Trust ₹700 crore institutional placement of units
Cyril Amarchand Mangaldas advised Nxt-Infra Trust and lead managers NovaaOne Capital Private Limited and Ambit Private Limited as sole counsel on the issuance of units by way of an institutional placement to institutional investors, for an amount aggregating to ₹7,001.50 million. The Trust has an initial portfolio of six Project SPVs comprising 14 road stretches spanning an aggregate length of over 2,000 lane kilometres, located across Delhi, Haryana, Uttarakhand, Uttar Pradesh and Maharashtra. Nxt-Infra Trust was registered as an Infrastructure Investment Trust with SEBI under the InvIT Regulations on November 8, 2023 and is sponsored by Actis Highway Infra Limited.
Why it mattersThe institutional private placement route for InvITs demonstrates the capital-raising flexibility of the InvIT structure post-listing; this placement mechanism allows sponsor-backed trusts to issue additional units without public offer formalities, subject to SEBI disclosure protocols.
