Go Digit General Insurance Limited: NCLT grants first motion order on amalgamation scheme
Go Digit General Insurance notified the NSE of receipt of the NCLT Interim Order dated 14 August 2026 permitting the first motion application in relation to the amalgamation scheme. This order allows the scheme proponent to proceed to convening of shareholder and creditor meetings (second motion stage) before seeking final NCLT sanction under section 230(5) of the Companies Act 2013. The notification triggers mandatory regulatory disclosure and halts ordinary M&A execution pending second motion clearance.
Why it mattersFirst motion NCLT clearance validates scheme structure and shareholder protection; second motion application will require final creditor/shareholder consent and NCLT approval before scheme becomes operative-typical 6–12 month path for insurance M&A under IBC/CA framework.
